KM Marketers is providing its marketing services to you (whether you are an individual, a company, or a legal entity, referred to below as “you” or “your”) only on the condition that you accept all of the terms of this agreement. This is a legal and enforceable contract between you and KM Marketers. By clicking “Agree” or “Yes,” signing up for our services, or otherwise indicating your acceptance electronically, you agree to the terms and conditions of this agreement.

This is a services license granted by KM Marketers, allowing you as an end user to access and benefit from our marketing services. Our services are not sold, but licensed for your use under these terms.

1. Scope of License

The marketing services offered by KM Marketers remain the property of KM Marketers and are protected under international copyright and intellectual property laws. While KM Marketers continues to own all rights, you are granted a limited right to use the services and deliverables for your business or personal purposes.

Your rights and obligations with respect to these services are as follows:

• You may use the services only for your internal business or personal purposes.

• You may make copies of reports, campaigns, creatives, or other deliverables provided to you, solely for your use.

• You may not sublicense, rent, resell, or lease any portion of the services or deliverables.

• You may not alter, misrepresent, or redistribute KM Marketers’ services or intellectual property without prior written consent.

• You may not use the services in any unlawful or unauthorized manner.

2. Limited Warranty

KM Marketers warrants that all digital marketing services, including SEO, social media management, paid advertising, branding, and web development, will be delivered with reasonable skill, professional expertise, and industry-standard care. While our team aims to provide high-quality service, KM Marketers does not guarantee that the services will always match your exact expectations or produce specific results.

As stated within the KM Marketers terms and conditions and our service policy, no fixed outcomes are promised regarding search engine rankings, website traffic, engagement levels, leads, conversions, or sales performance. Marketing results depend on multiple external factors such as platform algorithms, audience behavior, competition, and client implementation. 

Therefore, uninterrupted performance, error-free execution, or guaranteed improvements cannot be assured. These conditions apply to all digital marketing operations covered under our marketing agency terms of use and social media marketing policies to ensure clarity and realistic expectations for every client.

3. Disclaimer of Damages

Under no circumstances shall KM Marketers be liable to any client, user, partner, or third-party entity for any indirect, special, incidental, consequential, or punitive damages arising from the use of our digital marketing services, including SEO, web development, branding, paid advertising, or social media management. 

This includes, without limitation, loss of data, loss of revenue, loss of profits, loss of business opportunities, disruption of campaigns, or any damages resulting from delays, errors, or interruptions in service  even if KM Marketers has been informed or advised of the possibility of such damages. These limitations apply as part of the KM Marketers terms and conditions, our service policy, and all marketing agency terms of use that govern the relationship between KM Marketers and its clients.

KM Marketers’ total liability for any claim, dispute, or alleged damages whether arising from contract, negligence, performance issues, technical errors, or breach of agreement shall in no event exceed the total amount of fees actually paid by you for the specific services in question. No additional compensation, reimbursement, or damages shall be owed beyond the amount paid under your active digital marketing services agreement. 

These limitations remain enforceable regardless of the nature of the claim and continue to apply within our social media marketing policies and all related service terms.

4. General

This Agreement between you and KM Marketers governs all access to and use of our digital marketing services, including SEO, social media management, paid advertising, branding, and web development. The KM Marketers terms and conditions, along with our service policy and marketing agency terms of use, supersede all prior oral or written communications, proposals, quotations, and representations exchanged between the parties. These updated terms prevail over any conflicting clauses contained in previous emails, messages, quotes, or any other form of communication.

If you breach any clause outlined in this Agreement, your rights to use KM Marketers’ services, deliverables, digital assets, and marketing materials will immediately terminate. Upon termination, you must discontinue using the services and delete or destroy all copies of KM Marketers’ deliverables, campaigns, strategies, or documents stored on any device. However, all disclaimers of warranties, limitations of liability, intellectual property protections, and disclaimers of damages will continue to remain in full force even after termination, as outlined in our digital marketing services agreement and social media marketing policies.

Any modification, update, or amendment to this Agreement can only be made through a written document that is mutually reviewed, approved, and signed by both you and KM Marketers. Verbal changes, informal discussions, or unauthorized edits will not be considered valid under our official KM Marketers service policy.
